Contract offer

By accepting this public offer, you agree to all the terms and conditions set forth below and confirm that you understand all its provisions and conclude an agreement on the provision of consulting services with Olga Shinkarenko, sole proprietor, acting on the basis of Statement No. 20720000000036326 dated August 01, 2016 (hereinafter referred to as the Contractor).

PUBLIC OFFER

The Contractor invites individuals and legal entities (hereinafter referred to as the Client) (hereinafter referred to as the Parties, separately as a Party) to join this public offer agreement for the provision of consulting services (hereinafter referred to as the Agreement) on the terms and conditions specified herein and in accordance with the selected list of services. Accession to this Agreement shall also be deemed to be conclusive actions: checking the box "I have read the public offer" and/or using an online payment method to pay for booking an apartment for the purpose of concluding a Preliminary Sale and Purchase Agreement in the future. In case of disagreement with the terms of this Agreement, the conclusion of the adhesion agreement is not possible.

        This Agreement shall be concluded by submitting an application for booking an apartment in the Residential Complex "Bartolomeo Resort Town", at 7 Naberezhna Peremohy Street, Dnipro, Ukraine.

       By making a reservation, the Customer confirms that he/she is fully familiarized, agrees and accepts the terms of this Agreement.

 

1. SUBJECT OF THE AGREEMENT

1.1 Under the terms and conditions specified in this Agreement, the Contractor undertakes to provide the Customer, according to his booking application, with consulting services related to the purchase of real estate and preparation for the conclusion of a Preliminary Agreement for the sale of an apartment in the Bartolomeo Resort Town Residential Complex, at 7 Naberezhna Peremohy Street, Dnipro, and the Customer undertakes to pay for the services provided to the Contractor and conclude a Preliminary Agreement for the sale of property rights to the apartment.

        1.2. The Parties agreed that full information about the apartment chosen by the Customer, its cost, area, floor and the cost of booking services will be indicated in the booking application.

 

2. PROCEDURE FOR CONCLUDING THE AGREEMENT

2.1 This Agreement shall be concluded on the terms of the contract of adhesion (Article 634 of the Civil Code of Ukraine) and shall be deemed concluded from the moment of acceptance of the public offer.

2.2 By accepting the public offer to enter into this Agreement, the Customer confirms that he fully accepts its terms and conditions.

2.3 The Customer accepts the offer by: performing conclusive actions - paying for the reservation of the selected apartment on the terms specified in Section 3 of this Agreement.

 

3. PRICE OF SERVICES AND PAYMENT PROCEDURE

3.1 The price is determined and applied in accordance with the Apartment selected by the Customer, which is indicated when the Customer submits a reservation request in accordance with the selected conditions.

3.2 The booking procedure is carried out on the website https://bartolomeo-town.com.ua/ua.

 

3.3 Payments for services are made through the online payment system used by the Contractor on the website.

3.3 Payment for services shall be made in UAH equivalent using a two-stage payment https://www.liqpay.ua/documentation/api/aquiring/hold, unless otherwise specified in the booking application.

3.4 After signing the preliminary contract of sale of the apartment, the amount paid for the reservation service shall be refunded to the Customer, unless otherwise provided in the reservation application.

3.5. In case of cancellation of the reservation at the initiative of the Customer, the payment for the service is not refundable.

3.6. The cost of providing consulting services related to the purchase of real estate and preparation for the conclusion of a preliminary purchase and sale agreement is specified in the booking application and starts from UAH 100.

 

4. OBLIGATIONS OF THE PARTIES

4.1 Obligations of the Contractor:

4.1.1. To agree on the application with the Customer and make a reservation of the apartment according to the Customer's choice.

4.1.2. Accept the payment for the services from the Customer and book the selected apartment.

          4.1.3. Prepare all necessary documents by the time of signing the Preliminary Agreement for the sale and purchase of property rights to the apartment.

          4.1.4. Ensure the conclusion of the Preliminary Agreement for the Sale and Purchase of Property Rights to the Apartment by the Seller.

 

4.2 Obligations of the Customer:

4.2.1 Pay for the services of the Contractor upon signing this Agreement.

         4.2.2 Provide reliable personal data during registration and when making a reservation, indicate your name, phone number and e-mail, as well as provide other data necessary to fulfill the terms of this Agreement.

         4.2.3 Conclude a Preliminary Agreement for the sale and purchase of property rights to the apartment at the price agreed in the application within 30 days from the date of signing this Agreement, unless the reservation application specifies a specific date for concluding the Preliminary Agreement for the sale and purchase of property rights to the apartment.

 

5. DISPUTE RESOLUTION

5.1 The Customer and the Contractor shall resolve all disputes that may arise under this Agreement or in connection with its performance through negotiations. Pre-trial dispute resolution is mandatory. All disputes shall be considered in the presence of a written application sent by postal means. In case of failure to reach an agreement on disputed issues through negotiations, these issues shall be resolved in accordance with the current legislation of Ukraine.

 

6. TERM OF THE AGREEMENT

6.1 The Agreement shall enter into force from the date of its signing and shall remain in force until the parties have fully fulfilled their obligations.

6.2 The Agreement may be terminated by mutual written consent of the parties.

6.3. Early termination of this Agreement in the cases provided for by the Agreement shall be the basis for the Seller to conclude a new Real Estate Reservation Agreement.

 

7. OTHER TERMS AND CONDITIONS

7.1 By filling in the consent field (ticking the "I have read" box), the Customer accepts (accepts) the following information in the application: apartment number, area, apartment price and cost of services, thereby confirming that he/she is familiarized with and agrees to the essential terms and conditions.

7.2 By joining this Agreement, the Customer grants the Contractor the right to collect, process and store their personal data in accordance with the Privacy Policy.

7.3 The Contractor may change the terms of this Agreement unilaterally with prior notice to the Customer. In case of disagreement with the amended terms, the Customer has the right to terminate the Agreement unilaterally.

7.4 Unless otherwise provided by this offer, the usual contractual terms and conditions established by law shall apply.
